Foodland Ambassador Agreement Form

I am volunteering to serve as a Foodland Ambassador for Foodland Super Market, Limited (“Foodland”). I understand and agree to the following:

  • Any performance for services for Foodland is strictly voluntary. No employment or independent contractor relationship is created as a result of serving as a Foodland Ambassador.
  • Both parties reserve the right to terminate the relationship at any time and without liability.
  • I understand and agree that I will receive gift cards and free products, at the discretion of Foodland, as a result of providing volunteer services. Therefore, I agree to produce at minimum one (1) post or story to my Instagram or Facebook account per gift card/free product.
  • I am responsible for picking up free products from my designated Foodland location and agree to post within three (3) weeks of picking up products.
  • When posting, I agree to:
    • Consistently tag @FoodlandHI and use the hashtag for my Foodland location (i.e. #FoodlandKaMakanaAlii, #FoodlandAlaMoana, #KahalaMkt).
    • Refrain from using negative, inappropriate, defamatory, hateful language; inappropriate imagery that is unfit for publication or posting; mention of competitors.
  • Foodland reserves the right to ask ambassador to remove or edit posts if criteria is violated.

I further agree to the following terms and conditions in connection with my role as a volunteer Foodland Ambassador:

Legal Compliance

  • In making social media posts (“Posts”) in my capacity as an Ambassador, I will refrain from acting in a manner that violates Foodland’s any third party’s intellectual property or other rights, or is otherwise unlawful, defamatory, obscene, threatening, abusive, harassing, hateful, threatening, vulgar, racially or ethnically-motivated, invasive of another’s privacy, or otherwise unfit for publication or posting.
  • In making Posts in my capacity as a Foodland Ambassador, the content shall comply with applicable federal, national, state and local laws, rules, regulations and guidelines, including without limitation, the Federal Trade Commission’s Revised Endorsement Guidelines.

Usage/License

  • I hereby grant to Foodland the right, where permitted by law, to edit and use the Posts, or any portion of the Posts, in any manner in its sole discretion, including but not limited to on its social media platforms, webpages and for promotional purposes without any further compensation, notice, review or consent. 

Representations and Warranties

  • I hereby represent and warrant that: (a) I own all rights in and to the Posts; (b) I have permission from any person(s) appearing in the Posts to grant the rights herein; and (c) Foodland’s use of the posts will not violate the rights of any third party or any law or regulations.

Confidentiality

  • I will treat all information that is disclosed to me during the course of providing volunteer services as a Foodland Ambassador that is not generally known to the public as strictly confidential and only use such information for the purposes of performing my responsibilities as a voluntary Foodland Ambassador.

Release

  • I hereby release and hold Foodland, including its stockholders, directors, officers, employees, subsidiaries, agents, vendor partners and representatives, harmless from any liabilities, claims, damages, or losses arising from volunteering as a Foodland Ambassador.
  • I hereby release and hold Foodland, including its stockholders, directors, officers, employees, subsidiaries, agents, vendor partners and representatives, harmless from any liability related in any way to Foodland’s use of the Posts.
  • I will at all times indemnify and hold Foodland, including its stockholders, directors, officers, employees, subsidiaries, agents, vendor partners and representatives, harmless from and against any and all claims, damages, liabilities, reasonable costs and expenses arising out of any unlawful act and/or material breach by me of any representation, warranty or agreement made by me.

Criteria

  • Ambassadors must produce at minimum 1 post or story per gift card/free product
  • Tone: Friendly; warm; fun; approachable; helpful
  •  Ambassadors must be able to pick up their free product from their designated Foodland location
  • Ambassadors must post within three (3) weeks of picking up their gift card/product from their designated Foodland location
